By accessing or using the Trade Grounded website (trade-grounded.com), the SQ Risk Manager software, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not access or use the Service.
These Terms constitute a legally binding agreement between you and SQ Performance Systems LLC, a limited liability company organized under the laws of the State of North Carolina, doing business as Trade Grounded ("Company," "we," "us," or "our").
By creating an account, initiating a free trial, or purchasing a subscription, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
The SQ Risk Manager is a third-party risk management software add-on designed to operate within supported trading platforms, currently including NinjaTrader 8, MetaTrader 5, and MetaTrader 4. The Service provides rule-based risk enforcement tools including daily loss limits, drawdown controls, position sizing parameters, trade session management, and mindset support features.
The SQ Risk Manager is a software tool. It is not:
— A broker-dealer, investment adviser, or financial institution
— A provider of investment advice, trading recommendations, or financial planning services
— A guarantee of trading performance, profitability, or the prevention of trading losses
— A replacement for sound trading judgment, education, or experience
The Company makes no representation that use of the Service will result in profitable trading outcomes. Trading financial instruments involves substantial risk of loss. You are solely responsible for your trading decisions and their results.
To access the Service, you must create an account. You agree to provide accurate, current, and complete information; maintain and promptly update your account information; maintain the security of your login credentials; accept responsibility for all activity under your account; and notify us immediately at support@trade-grounded.com of any unauthorized use.
Free Trial. The Company offers a three (3) day free trial for new subscribers. Valid payment information is required to initiate a free trial. Your payment method will not be charged during the trial period. If you do not cancel before the trial period expires, your subscription will automatically activate and your payment method will be charged the applicable subscription fee.
Subscription Plans. Following the trial period, subscriptions are billed monthly at the rates displayed at trade-grounded.com/plans at the time of purchase.
Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
Price Changes. The Company reserves the right to change subscription pricing with thirty (30) days advance notice to your registered email address.
You may cancel your subscription at any time by accessing your account settings at trade-grounded.com or by contacting support@trade-grounded.com. Cancellation takes effect at the end of the current billing period. You will retain access through the end of the paid period. The Company does not provide partial-month refunds upon cancellation after the trial period.
If you cancel during the three-day trial period, you will not be charged. Trial cancellations must be submitted before the trial period expires.
The Company provides a three (3) day free trial to allow you to evaluate the Service before being charged. Given this trial period, all subscription payments are final and non-refundable except as required by applicable law.
In cases of technical failure attributable solely to the Company that prevents access to the Service for a material portion of a billing period, the Company may, at its sole discretion, provide a prorated credit toward a future billing period. Credits must be requested at support@trade-grounded.com within thirty (30) days of the billing period in question.
The Service, including all software, code, algorithms, documentation, visual design, text, and related materials, is the exclusive property of SQ Performance Systems LLC and is protected by applicable copyright, trade secret, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal, non-commercial trading risk management purposes during the term of your active subscription. You may not copy, modify, reverse engineer, decompile, sublicense, sell, or commercially exploit the Service.
You agree not to use the Service to violate any applicable law; infringe intellectual property rights; reverse engineer or decompile the software; distribute or resell the Service without authorization; interfere with or disrupt the Service; or attempt to gain unauthorized access to any system associated with the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE COMPANY DOES NOT WARRANT THAT USE OF THE SERVICE WILL RESULT IN PROFITABLE TRADING OUTCOMES OR PREVENT TRADING LOSSES.
These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration conducted in Mecklenburg County, North Carolina, except that either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property.
The Company reserves the right to modify these Terms at any time. Material changes will be communicated to your registered email address with at least thirty (30) days advance notice. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
The Company may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or conduct determined to be harmful to the Service or other users. Upon termination, your license to use the Service immediately ceases.
